Terms of Service

You must be at least 18 years old to create an account or use the Platform. By using the Platform, you represent and warrant that you are at least 18 years of age and that you have the legal capacity to enter into a binding agreement.

The Platform is intended for use by individuals and businesses located in the United States. We do not currently support account registration or use from outside the United States, and we make no representation that the Platform is appropriate or available for use in other locations.

Momnt operates as a two-sided marketplace with two account types:

• Person Accounts:Individuals who create listings (“Moments”) describing an upcoming personal event (e.g., a trip, wedding, or celebration) for the purpose of receiving sponsorship offers from brands.
• Brand Accounts: Businesses that browse Moments and send sponsorship offers to Person Account holders in exchange for social media content.

You may only create the account type that accurately reflects your intended use of the Platform. Brands may not create Person Accounts to solicit content, and individuals may not create Brand Accounts to send offers on behalf of a business without authority to do so.

Momnt facilitates connections between Person Account holders and Brand Account holders for the purpose of arranging sponsorships in exchange for social media content. Momnt is not a party to any sponsorship arrangement, agreement, or contract formed between users. Momnt does not employ, represent, or act as an agent for either party.

Momnt provides tools to:

• Allow Person Accounts to list upcoming events (“Moments”) with relevant details.
• Allow Brand Accounts to browse, filter, and send sponsorship offers on Moments.
• Generate a lightweight on-platform agreement (“Contract”) reflecting the terms of an accepted offer.
• Facilitate messaging, e-signature capture, fulfillment tracking, and payment processing related to that Contract.

Momnt does not guarantee that any Moment will receive an offer, that any offer will be accepted, or that any Contract will be fulfilled by either party.

When a Brand Account’s sponsorship offer is accepted by a Person Account, the Platform generates a Contract reflecting the offer’s terms (including deliverables, platforms, timeline, and value). Both parties must complete an electronic signature (typed name, drawn signature, and timestamp) to fully execute the Contract.

You acknowledge and agree that:

• The Contract is an agreement between you and the other user — Momnt is not a party to it and has no obligation to enforce it beyond the tools described in these Terms.
• Momnt’s electronic signature process is intended to satisfy the requirements of the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) but does not constitute legal advice or a guarantee of enforceability in every jurisdiction or circumstance.
• You are solely responsible for reviewing and understanding the terms of any Contract before signing it.
• Momnt reserves the right, but has no obligation, to review, moderate, or reject any offer or Contract terms that violate these Terms.

Person Accounts that accept a sponsorship offer agree to fulfill the deliverables specified in the resulting Contract (e.g., posting specified content, tagging the brand, meeting specified deadlines). Brand Accounts agree to provide the sponsorship described in the offer (e.g., shipping product, providing credit) in good faith and in a timely manner.

Momnt provides tools for Brand Accounts to review and verify submitted content but does not independently verify the accuracy, quality, or authenticity of submitted content beyond what the Brand Account confirms.

You agree not to:

• Use the Platform to arrange, solicit, or complete any sponsorship transaction outside the Platform in order to avoid Momnt’s fees, once initial contact between the parties was made through the Platform;
• Post false, misleading, or fraudulent information in a Moment listing, brand profile, or sponsorship offer, including misrepresenting follower counts, event details, or sponsorship value;
• Use the Platform to harass, defame, threaten, or discriminate against another user;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use the Platform for any unlawful purpose, including money laundering or fraud;
• Upload content that infringes another party’s intellectual property rights, is obscene, or otherwise violates applicable law;
• Attempt to circumvent, disable, or interfere with the security or proper functioning of the Platform, including scraping, reverse engineering, or unauthorized automated access;
• Create multiple accounts to evade a suspension or ban;
• Use the Platform to solicit content or sponsorships involving anyone under the age of 18.

We reserve the right to suspend or terminate any account that violates this section, with or without notice.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MOMNT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SPONSORSHIP, OFFER, OR CONTRACT WILL BE FULFILLED BY ANY USER.

MOMNT IS CURRENTLY IN A BETA / EARLY-ACCESS PHASE. FEATURES, AVAILABILITY, AND FUNCTIONALITY MAY CHANGE WITHOUT NOTICE, AND YOU ACKNOWLEDGE THAT YOU ARE USING THE PLATFORM DURING AN EARLY TESTING PERIOD.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMNT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION BETWEEN USERS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF MOMNT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MOMNT’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO MOMNT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You may stop using the Platform and close your account at any time by contacting hannah@row-ventures.com. We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to Momnt.

Termination does not relieve you of any obligations you owe under a Contract already formed with another user, or any fees already owed to Momnt.
